The following Prime Payments Privacy Notice ("Privacy Notice") is designed to inform you, as a user of the Sites, about the types of personal information that Prime Payments may gather about or collect from you in connection with your use of the Sites. It also is intended to explain the conditions under which Prime Payments uses and discloses that personal information, and your rights in relation to that personal information. 2.  HOW WE COLLECT AND USE YOUR PERSONAL INFORMATION

Prime Payments gathers personal information from users of the Sites. When you browse our Sites, subscribe to our services, use our services, make transactions through our Sites, complete any forms or surveys, or contact us through various social or web forms you are voluntarily sharing personal information with us. This personal information also includes various data that we collect automatically. Information we collect includes both information you knowingly and actively provide us when using or participating in any

of our services and promotions, and any information automatically sent by your devices in the course of accessing our products’ services. This may include the user’s Internet Protocol (IP) address, operating system, browser type, mobile network information, the locations of the Sites the user views right before arriving at, while navigating and immediately after leaving the Sites, and other communication data and resources that you access and use on or through the Sites. It may also include various technical aspects of user’s computer or browser and users browsing habits that are collected through cookies and/or web beacons, as well as metadata and other information associated with other files stored on your computer or device. Prime Payments may analyze various mentioned personal information gathered from or about users to help Prime Payments better understand how the Sites are used and how to make them better, to customize our applications, to fulfill requests for products and services, to contact you, or to communicate with you about offers from us or our marketing partners, licensees or affiliates. By identifying patterns and trends in usage, Prime Payments is able to better design the Sites to improve users’ experiences, both in terms of content and ease of use. From time to time, Prime Payments may also release the anonymized information gathered from the users in the aggregate without restriction, such as by publishing a report on trends in the usage of the Sites.

When we believe disclosure is appropriate, we may disclose your information to help investigate, prevent or take other action regarding illegal activity, suspected fraud or other wrongdoing; to protect and defend the rights, property or safety of Prime Payments, our users, our employees or others; to comply with applicable law or cooperate with law enforcement; to enforce our Terms of Use or other agreements or policies, including any EULA’s associated with use of our applications; in response to a subpoena or similar investigative demand, a court order or a request for cooperation from a law enforcement or other government agency; to establish or exercise our legal rights; to defend against legal claims; or as otherwise required by law. In such cases, we may raise or waive any legal objection or right available to us. To the extent possible, we will notify you if permitted before undertaking such disclosures.

Prime Payments reserves the right to transfer all information in its possession to a successor organization in the event of a merger, divestiture, restructuring, reorganization, acquisition, dissolution, or other sale of all or a portion of Prime Payments’ assets, whether as a going concern or as part of a bankruptcy, liquidation or similar proceeding. Other than to the extent ordered by a bankruptcy or other court, the use and disclosure of all transferred information will be subject to this Privacy Notice, or to a new privacy notice if you are given notice of that new privacy notice and are given an opportunity to affirmatively opt-out of it.

Prime Payment retains personal data for as long as necessary to (a) provide our products and services; (b) comply with legal obligations; (c) resolve disputes; and (d) enforce the terms of any agreement we may have. Unless one of the foregoing exceptions applies, Prime Payments will retain data and personal information collected for a period of two (2) years from the date which you uninstall and cease using the Software and terminate any applicable EULA with Prime Payments. Once this time period has expired, Prime Payments will delete your data. You may contact us for additional information about our data retention practices in connection with the application.

3.  DO WE SHARE YOUR PERSONAL INFORMATION?

General Provisions

Prime Payments may disclose the personal information we collect or provide to our subsidiaries and affiliates, contractors, vendors and suppliers, but only in accordance with this Privacy Notice. Prime Payments contractually prohibits its contractors, affiliates, subsidiaries, vendors and suppliers from disclosing any personal information received from Prime Payments, other than in accordance with this Privacy Notice. These third parties may include advertisers, providers of games, utilities, widgets and a variety of other third-party applications accessible through the Sites. Prime Payments neither owns nor controls the third-party websites and applications accessible through the Sites. Thus, this Privacy Notice does not apply to personal information provided to or gathered by the third parties that operate them. Before visiting a third party, or using a third-party application, whether by means of a link on the Sites, directly through the Sites or otherwise, and before providing any personal information to any such third party, users should inform themselves of the privacy policies and practices (if any) of the third party responsible for those Sites or applications, and should take those steps necessary to, in those users’ discretion, protect their privacy.

Analytics

We may partner with selected third parties to allow tracking technology on the Sites, which will enable them to collect data about how you interact with the Sites and our services over time. This personal information may be used to, among other things, analyze and track data, determine the popularity of certain content and better understand online activity. You may be able to set your browser to refuse all or some browser cookies or tracking technologies. If you disable or refuse cookies or block the use of other tracking technologies, some parts of the Sites may then be inaccessible or not function properly.

4.  MOBILE DEVICE ADDITIONAL TERMS

  • Mobile Device.

    If you use a mobile device to access the Sites or download any of our applications, we may collect device personal information (such as your mobile device ID, model and manufacturer), operating system, version personal information and IP
  • Geo-Location Personal Information.

    Unless we have received your prior consent, we do not access or track any location-based personal information from your mobile device at any time while downloading or using our mobile application or our services, except that it may be possible for Prime Payments to determine from an IP address the geographic location of your point of connectivity, in which case we may gather and use such general location
  • Push Notifications.

    We send you push notifications if you choose to receive them, letting you know when someone has sent you a message or for other service-related If you wish to opt-out from receiving these types of communications, you may turn them off in your device’s settings.
  • Mobile Analytics.

    We use mobile analytics software to allow us to better understand the functionality of our mobile software on your mobile device. This software may record personal information, such as how often you use the application, the events that occur within the application, aggregated usage, performance data and where the application was downloaded from. We do not link the personal information we store within the analytics software to any personal information you submit within the mobile application.
5.  SECURITY

We take the security of your personal information seriously and use reasonable electronic, personnel and physical measures to protect it from loss, theft, alteration or misuse. However, please be advised that even the best security measures cannot fully eliminate all risks. Unfortunately, the transmission of information via the internet and mobile platforms is not completely secure. We cannot guarantee that only authorized persons will view your personal information. We are not responsible for third-party circumvention of any privacy settings or security measures.

We are dedicated to protect all personal information on the Sites as is necessary. However, you are responsible for maintaining the confidentiality of your personal information by keeping your password and computer/mobile device access confidential. If you have an account with Prime Payments and believe someone has gained unauthorized access to it or your account please change your password as soon as possible. If you lose control of your account, you should notify us immediately.

6.1  PRIVACY RIGHTS.

Prime Payments will only process and use personal information as permitted by and in compliance with the CCPA and other applicable privacy and data protection laws (collectively, “Privacy Laws”). In no event will Licensor “sell” (as defined by Privacy Laws) any such personal information.

Under certain circumstances, data subjects have certain rights relating to their personal data, which include the rights to request (a) access to the data subject’s personal data; (b) correction of incomplete or inaccurate personal data; (c) erasure of personal data; (d) restriction of processing concerning the data subject; and

(e) that the controller provide a copy of the data subject’s personal data that the data subject provided to the controller in a structured, commonly used and machine-readable format. Data subjects may also object to processing of personal data under certain circumstances. Where processing is based on a data subject’s consent, the data subject has the right to withdraw consent at any time; however, the withdrawal of consent will not affect the lawfulness of processing based on consent before its withdrawal. Data subjects may also file complaints with applicable supervisory authorities.

6.2  PRIVACY RIGHTS - CALIFORNIA USERS

Do Not Sell My Personal Information Notice - California Consumer Privacy Act (CCPA)

Prime Payments has not disclosed or sold any personal information to third parties for a business or commercial purpose in the preceding twelve (12) months. Prime Payments will not sell personal information in the future belonging to Sites' visitors, users and other consumers.

If you are under 18 years of age

If you have registered account with Prime Payments, you have the right to request the removal of unwanted personal information that you publicly post on our Sites. To request the removal of such information, please contact us using the contact information provided below. Make sure to include your account's email address and a statement that you reside in California.

"Shine the Light Law"

California Civil Code Section 1798.83, also known as the "Shine The Light" law, permits our users who are California residents to request and obtain from us, once a year and free of charge, information about the personal information (if any) we disclosed to third parties for direct marketing purposes in the preceding calendar year. If applicable, as a California consumer, you have a right to request what Personal Information we collect, use, disclose, and sell. Once we receive and confirm your verifiable consumer request as described below, we will disclose to you: the categories of personal information we collected about you; (ii) the categories of sources for the personal information we collected about you; (iii) our business or commercial purpose(s) for collecting or selling that personal information; (iv) the categories of third parties with whom we shared that Personal Information; and (v) the specific pieces of personal information we collected about you. In addition, if we sold or disclosed your personal information for a business purpose, we will provide you with two separate lists disclosing: (i) sales, identifying the personal information categories that each category of each category of recipient obtained; and (ii) disclosures for a business purpose, identifying the personal information categories disclosed that each category of recipient obtained.

If applicable, as a California consumer, you have the right to request that we delete any or all of your personal information that we collected from you and retained, subject to certain exceptions. Once we receive and confirm your verifiable consumer request, we will delete (and direct our service providers to delete) your personal information from our records, unless an exception applies. We may deny your deletion request to delete your personal information if retaining the personal information is necessary for us or our service providers to: complete the transaction for which we collected the personal information, provide a service that you requested, take actions reasonably anticipated within the context of our ongoing business relationship with you, or otherwise perform our contract with you; detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity, or prosecute those responsible for such activities; debug products to identify and repair errors that impair existing intended functionality; exercise free speech, ensure the right of another consumer to exercise their free speech rights, or exercise another right provided for by law; comply with the California Electronic Communications Privacy Act (Cal. Penal Code § 1546 seq.); engage in public or peer-reviewed scientific, historical, or statistical research in the public interest that adheres to all other applicable ethics and privacy laws, when the information's deletion may likely render impossible or seriously impair the research's achievement, if you previously provided informed consent; enable solely internal uses that are reasonably aligned with consumer expectations based on your relationship with us; comply with a legal obligation; make other internal and lawful uses of that information that are compatible with the context in which you provided it.

If applicable, as a California consumer, you also have the right to opt-out of the sale of your personal information. Please note that we do not sell any personal information.

If applicable, as a California consumer, you also have the right not to be discriminated against for exercising any of your CCPA rights. Unless permitted by the CCPA, if you exercise any of your California rights, we will not: deny you goods or services; charge you different prices or rates for goods or services, including through granting discounts or other benefits, or imposing penalties; provide you a different level or quality of goods or services; suggest that you may receive a different price or rate for goods or services or a different level or quality of services.

If you are a California resident and would like to make such a request, please submit a verifiable consumer request in writing to the address listed below. Only you, or a person registered with the California Secretary of State that you authorize to act on your behalf, may make a verifiable consumer request related to your personal information. In order to make a verifiable consumer request, please provide sufficient information that allows us to reasonably verify you are the person about whom we collected personal information or an authorized representative, and describe your request in sufficient detail that allows us to properly understand, evaluate and respond to it.

7.  CHILDREN

The Children's Online Privacy Protection Act ("COPPA") protects the online privacy of children under 13 years of age. We do not knowingly collect or maintain personal information from anyone under the age of 13, unless or except as permitted by law. Any person who provides personal information through the Sites represents to us that he or she is 13 years of age or older. If we learn that personal information has been collected from a user under 13 years of age on or through the Sites, then we will take the appropriate steps to cause this personal information to be deleted. If you are the parent or legal guardian of a child under 13 who has become a member of the Sites or has otherwise transferred personal information to the Sites, please contact Prime Payments using our contact information below to have that child's account terminated and personal information deleted.

8.  DO-NOT-TRACK NOTICE

Most web browsers and some mobile operating systems include a Do-Not-Track ("DNT") feature or setting you can activate to signal your privacy preference not to have data about your online browsing activities monitored and collected. Because there is not yet a common understanding of how to interpret the DNT signal, the Sites currently do not respond to DNT browser signals or mechanisms.

9.  GOVERNING LAW

Disputes over privacy issues contained in this Privacy Notice will be governed by the laws of the State of New York. You also agree to abide by any limitation on damages contained in our Terms of Use, or other agreement that we have with you.

10.  PRIVACY NOTICE CHANGES

Prime Payments may, in its sole discretion, change this Privacy Notice from time to time. Any and all changes to Prime Payments Privacy Notice will be reflected on this page and the date of the new version will be stated at the top of this Privacy Notice. Unless stated otherwise, our current Privacy Notice applies to all personal information that we have about you and your account. Your continued use of the Sites after changes are made to this Privacy Notice shall deemed to be acceptance of such changes. Users should regularly check this page for any changes to this Privacy Notice. Prime Payments will always post new versions of the Privacy Notice on the Sites. Prime Payments will notify users of material changes made to this Privacy Notice and Prime Payments’ Privacy Policy via email or otherwise. You are responsible for
